These Terms of Service (“Terms”) govern your use of the ExcelTax website and the tax preparation, quarterly estimate, bookkeeping, entity, sales tax, planning and related services we provide (the “Services”). “ExcelTax,” “we,” “us” and “our” refer to ExcelTax, 30 N Gould St, Sheridan, WY 82801. By using our website, requesting an appointment or engaging us, you agree to these Terms. If you do not agree, please do not use the Services.
Our services and your engagement
The specific work we perform for you is described in your engagement letter or service agreement. By signing an engagement letter, choosing a plan, approving a quote or paying for any Service, you agree to these Terms and to that engagement letter. If they conflict, your signed engagement letter or service agreement controls.
Audit and IRS representation
ExcelTax prepares returns, organizes workpapers and assembles audit files. ExcelTax does not itself represent clients before the IRS or state tax agencies. When representation is needed, we refer you to an independent partner CPA who represents you under a power of attorney (Form 2848) and their own engagement with you. Fees for representation are set out in your engagement documents.
Website content is not advice
Articles and other content on our website are general information, not tax, legal or financial advice for your situation. Tax rules and indexed amounts change; confirm current figures with your tax pro before acting.
Your responsibilities
- You are at least 18 years old and authorized to engage us for yourself or your business.
- You will give us complete, accurate and timely information and documents, and tell us about anything that could affect your taxes.
- You are responsible for reviewing your returns before you sign them and for paying any tax, penalties and interest owed to tax authorities.
We rely on the information you provide and are not responsible for errors, penalties or interest that result from information that is incomplete, inaccurate or late.
Plans, quotes and scope
Monthly plans cover the services listed for that plan on our pricing page or in your agreement. One-time projects are quoted after a review. If we discover work outside the agreed scope — for example additional entities, states or prior years — we will tell you before doing it, and no additional billable work will proceed without your approval.
Fees and payment
Plans are billed monthly, or annually if you choose annual billing. Project fees are due as stated in your quote or engagement letter. We may hold filing or delivery of completed work until outstanding balances are paid, and we may pause Services on past-due accounts. Returned payments may incur a fee.
Appointments, cancellations and refunds
- Rescheduling. Please give us at least 24 hours' notice if you need to move an appointment.
- Cancelling a plan or project. You may cancel in writing at any time. You remain responsible for fees for work performed and billing periods that began before cancellation.
- Refunds. Fees for work already performed are generally not refundable, regardless of the tax outcome. Any refund is at our discretion.
Deadlines matter. If you do not provide documents in time for us to meet a filing deadline, we may file an extension where available, but we are not responsible for late-filing consequences caused by delays on your side.
Communications
You agree that we may contact you by email and phone about your appointments and Services. Text messages are sent only if you opt in, as described in our SMS Terms. How we handle your information is described in our Privacy Policy.
Your records
Your original documents belong to you. You may request an export of your returns, books and workpapers we hold for you, subject to payment of amounts owed and our legal obligations.
Acceptable use of our website
Do not misuse the website — for example by attempting to gain unauthorized access, interfering with its operation, submitting false information or using automated means to collect data from it. The website's design, text and graphics are owned by ExcelTax or its licensors.
Disclaimer
The website is provided “as is.” To the fullest extent permitted by law, we disclaim warranties not expressly stated in your engagement letter, including implied warranties of merchantability and fitness for a particular purpose.
Limitation of liability
To the fullest extent permitted by law, ExcelTax will not be liable for indirect, incidental, special or consequential damages, and our total liability for any claim relating to the Services is limited to the fees you paid for the specific Service giving rise to the claim.
Indemnification
You agree to indemnify and hold harmless ExcelTax and its personnel from claims and losses arising from your breach of these Terms, information you failed to disclose or provided inaccurately, or any fraudulent conduct on your part.
Dispute resolution
If a dispute arises, we will first try to resolve it with you informally and in good faith. If we cannot, the dispute will be resolved by binding arbitration administered by the American Arbitration Association under its applicable rules, before a single arbitrator, in Sheridan County, Wyoming. Each party pays its own attorneys' fees unless the arbitrator awards otherwise. Either party may bring an individual claim in small-claims court if it qualifies.
Class action waiver. To the fullest extent permitted by law, disputes will be resolved only on an individual basis and not as a class, consolidated or representative action.
Governing law
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-law rules.
Changes to these Terms
We may update these Terms from time to time. The effective date above shows when they last changed. Changes take effect when posted; continuing to use the Services after that means you accept them.
